Terms and Conditions of Use

1. Legal Information and Purpose

In accordance with Law 34/2002, of July 11, on Information Society Services and Electronic Commerce (LSSI-CE), it is informed that the owner of the website ottly.io is Ottly Platform, with registered office in Madrid, Spain.

These Terms govern the access and use of the Ottly platform ("the Platform"). Access and registration in it attributes the condition of User and implies full acceptance of these conditions.

2. Definitions and Business Model

2.1 Definitions:

  • Client: Any natural or legal person who uses the Platform to search, hire and pay for professional services.
  • Talent / Expert: Independent professional validated by Ottly who offers their services through the interface.
  • Gig / Project: The specific professional assignment agreed between Client and Talent.

2.2 Nature of the Service: Ottly operates exclusively as a technical intermediation marketplace. Ottly is not an employment agency, nor a temporary work agency (ETT), nor does it provide its own professional services. The legal relationship for the provision of services is established solely between the Client and the Talent.

3. Hiring and Payment Process

3.1 Escrow Deposit

Ottly uses a protected payment system managed by Stripe Connect. When starting a project:

  1. The Client pays the total amount of the Gig (including taxes if applicable).
  2. Stripe holds the funds securely (Escrow).
  3. After the work is delivered and explicitly approved by the Client, funds are released to the Talent, minus Ottly's commission.

3.2 Fees and Commissions

Ottly applies a 15% commission (Service Fee) to the Talent on the total project amount. For the Client, using the platform is free (0% commission).

4. Tax and Legal Obligations

4.1 User Responsibility: Users are solely responsible for declaring their income and paying the corresponding local taxes (VAT, Income Tax, social security contributions, etc.).

4.2 DAC7 Compliance: In compliance with European Directive 2021/514 (DAC7), Ottly is obliged to collect and report transactions and data of sellers (Talent) operating on the platform to tax authorities.

4.3 Prevention of False Self-Employment: The Client guarantees that the contracting of services does not constitute a disguised employment relationship nor violates current labor legislation.

5. Intellectual Property

Unless specifically agreed between the parties, once the Client makes full payment and releases the Escrow funds, the Talent assigns to the Client all exploitation rights over the Gig deliverables, on a global basis and for the maximum time allowed by law.

6. Cancellations and Disputes

If a Client is not satisfied with the delivery, they may initiate a Dispute process before releasing the funds. Ottly will act as a neutral mediator attempting to reach a reasonable agreement. If no agreement is reached, Ottly may decide on the proportional distribution of funds based on the work performed, which decision will be final for the purposes of using the Platform.

7. Limitation of Liability

Ottly does not guarantee the veracity of profiles nor the absolute technical quality of work. Ottly is an LSSI facilitator and is not liable for indirect damages, loss of profits or conflicts arising from contractual breaches by any of the parties involved in the Service.

8. Applicable Law and Jurisdiction

These Terms are governed by Spanish law. Both parties submit to the courts of Madrid.
